Terms of Service

1. Acceptance
By creating an account or using InvoiceGen (“the Service”), you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
InvoiceGen provides a software-as-a-service platform for creating, sending, and tracking invoices. Features include client management, recurring invoices, automated reminders, PDF generation, and Stripe-powered payment links.
3. Accounts
- You must provide a valid email address and accurate information when signing up.
- You are responsible for maintaining the security of your account and password.
- You are responsible for all activity that occurs under your account.
- Notify us immediately of any unauthorized use at support@invoicegent.com.
- One person or legal entity per account. Sharing accounts is not permitted.
4. Acceptable use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws.
- Send invoices for goods or services that are fraudulent, defamatory, or infringing.
- Spam, phish, or use the Service to harass any person.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Reverse engineer, decompile, or attempt to extract source code.
- Resell or sublicense the Service without written permission.
5. Plans, pricing, and payment
- The Service is offered on Free, Pro, and Scale plans with the limits described on the Pricing page.
- Paid plans are billed monthly or annually in advance via Stripe.
- You can cancel at any time. Cancellation takes effect at the end of your current billing period — no refunds for partial months, except where required by law.
- You authorize us to charge your payment method for recurring subscription fees.
- Late or failed payments may result in suspension of paid features.
- Plan limits (number of companies, monthly invoices) are enforced. Exceeding limits triggers an upgrade prompt.
6. Free plan
The Free plan is offered as-is, with no warranty. We reserve the right to modify or discontinue the Free plan at any time with 30 days notice.
7. Your content
You retain all rights to the data you create in InvoiceGen (invoices, client details, branding). You grant us a limited license to host, process, and transmit that data solely to provide the Service.
We will not access, copy, or use your content for any other purpose. We do not train AI models on your data.
8. Our intellectual property
The Service, including its design, code, and branding, is owned by Syfer Ltd. You may not copy, modify, or distribute it without permission.
9. Termination
- By you — cancel your subscription and close your account at any time from Settings.
- By us — we may suspend or terminate your account if you breach these Terms, with or without notice. For non-material breaches, we will give you 14 days to cure.
- Upon termination, your data will be deleted within 30 days except where retention is required by law.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold us harmless from any claims arising out of your breach of these Terms, your use of the Service, or your invoices and client communications.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be notified by email and an in-app banner at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
14. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers resident in the EU, EEA, UK, or Switzerland may bring proceedings in their country of residence and may benefit from the mandatory consumer protection laws of that country (which prevail over these Terms where they conflict).
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
15. Consumer right of withdrawal (EEA/UK consumers only)
If you are a consumer in the EEA or UK, you have the right to withdraw from a paid subscription within 14 days of purchase (“cooling-off period”) without giving a reason, in line with the Consumer Rights Directive. To exercise this right, contact us at legal@invoicegent.com before the 14-day period ends. We will refund the payment within 14 days of receiving your withdrawal request, using the same payment method you used.
By signing up and immediately using the paid Service, you acknowledge that the right of withdrawal no longer applies once the Service has been fully performed (e.g. you have used Pro features). If you have not used any paid features, the right of withdrawal remains.
